The decisions of the shareholders are made at shareholders' meetings pursuant to, § 48 Para. I GmbHG (Law on Limited Liability Companies).
Duties of the Shareholders' Meeting of Inwent gGmbH
The shareholders are responsible for all matters not otherwise made the exclusive responsibility of another body by law or company statutes, in particular:
the acceptance of additional shareholders and the disposal over the shares, any change in the stipulated purpose of the enterprise, the dissolution of the company, changes to the company agreement, the adoption of the annual accounts, the use of revenue and the nomination of the balance sheet auditor, the appointment and dismissal of managing directors and the issuing of directives to the managing directors and the members of the supervisory board, the economic plan to be drawn up, the releasing of members of the supervisory board and the managing directors from responsibility for management during the preceding year.
The shareholders' meeting can make other items dependent on its decisions and responsibilities.
Duties of the Supervisory Board
In addition to the duties and authorities incumbent on it by law, the supervisory board has in particular the following duties and authority:
It monitors the managing directors and represents the company vis à vis the managing directors before court and out-of-court, in particular with respect to the contracts of employment of the managing directors. It proposes to the shareholders' meeting the nomination or dismissal of managing directors and loges claims for compensation on behalf of the company against the managing directors. It is entitled to examine the books and records of the company or to appoint individual members or experts to do so. Pursuant to § 1 Para. I no. 3 DrittelbG (Law on One-Third Participation of Employees on Supervisory Boards) in conjunction with § 90 Para III to V AktG (German Stock Corporation Law) it can require the managing directors to report to it at any time. It proposes to the shareholders' meeting the balance sheet auditor for the company. It checks the annual accounts, the status report and the proposal for the use of balance sheet profits, and reports to the shareholders' meeting in writing about the result of this: § 1 Para I no. 3 DrittelbG (Law on One-Third Participation of Employees on Supervisory Boards) in conjunction with § 171 Para. II AktG (German Stock Corporation Law) applies accordingly. It advises the managing directors in advance on their submissions for the shareholders' meeting.

The duties of the Board of Trustees include advising Inwent on major issues pertaining to the development of the company, exchanging information and opinions on all issues related to the purpose of the company and promoting relations between Inwent, the federal laender, private-sector businesses and associations and other institutions working in similar fields as Inwent.
